Terms of Service

By registering for or using the Velaphi Logistics platform ("the Platform"), you ("the Customer") agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not use the Platform.

Velaphi Logistics B.V. ("Velaphi") provides a B2B shipping management platform that enables businesses to:

• Compare shipping rates from multiple carriers in real time.
• Book and confirm shipments with partner carriers.
• Track shipment status via integrated carrier APIs.
• Manage a prepaid wallet for shipping costs.
• Manage team members and permissions within an organisation account.
• Generate monthly shipping cost statements.

The Platform is intended exclusively for business use. Personal (consumer) use is not permitted.

• You must provide accurate, complete, and up-to-date information during registration. You are responsible for keeping your account details current.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at hello@velaphi.co if you suspect any unauthorised access to your account.
• Accounts may not be shared with or transferred to third parties without our prior written consent.
• We reserve the right to refuse registration or suspend accounts at our sole discretion, particularly where we suspect fraud, misuse, or violation of these Terms.

• The Platform is available on tiered subscription plans (Startup, SMEs, Scale). Plan features and shipment limits are described on our pricing page.
• Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis.
• Subscription fees are non-refundable unless required by applicable law.
• We reserve the right to modify subscription pricing with at least 30 days' written notice to registered users.
• Failure to pay may result in suspension or termination of your account.

• Shipping costs are deducted from your prepaid wallet at the time of shipment confirmation.
• Wallet funds may be topped up via Stripe. Top-ups are processed in the currency associated with your account (EUR or ZAR).
• Wallet balances are non-refundable once funds have been used to book a shipment.
• Unused wallet balances may be refunded upon account closure at our discretion, subject to any outstanding charges.
• You are responsible for maintaining a sufficient wallet balance. We are not liable for failed shipment bookings caused by insufficient funds.

• By confirming a shipment, you warrant that all parcel details (weight, dimensions, contents, and declared value) are accurate and complete.
• You are solely responsible for ensuring that shipment contents comply with all applicable laws and the carrier's terms of carriage, including IATA Dangerous Goods Regulations for air freight.
• Velaphi acts as a booking intermediary between you and the carrier. The contract of carriage is between you and the carrier. Velaphi is not a party to that contract and is not liable for carrier performance, delays, loss, or damage.
• Shipping rates shown are estimates. Final charges from carriers (e.g. dimensional weight adjustments, surcharges) are passed through to your wallet and are your responsibility.
• Customs duties, taxes, and import fees for international shipments are the Customer's responsibility and are not included in the quoted rates.

You must not use the Platform to ship or attempt to ship:

• Dangerous goods as defined by IATA, IMDG, or applicable national regulations, without proper classification and documentation.
• Illegal substances, counterfeit goods, or items that infringe third-party intellectual property rights.
• Firearms, ammunition, or weapons without the required licences and carrier approval.
• Live animals without appropriate carrier approval and documentation.
• Any item prohibited by the destination country's import regulations.

You must not:

• Attempt to reverse-engineer, scrape, or circumvent any part of the Platform.
• Use the Platform for any unlawful purpose or in a manner that harms Velaphi, other users, or third parties.
• Submit false or fraudulent shipment information.

Breach of this section may result in immediate account termination and may be reported to relevant authorities.

If you generate API keys through the Platform's Advanced Settings, you are responsible for keeping those keys confidential. You must not expose API keys in public repositories or client-side code. You accept liability for all API usage associated with your keys.

Organisation owners are responsible for the actions of all members added to their organisation. Owners must assign roles that reflect the actual responsibilities of each member and must promptly remove access for members who are no longer authorised. Velaphi is not liable for actions taken by organisation members.

All intellectual property in the Platform — including software, design, trademarks, and content — is owned by or licensed to Velaphi. You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose. No ownership rights are transferred to you.

The Platform is provided "as is" and "as available". To the fullest extent permitted by law, Velaphi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that carrier rates will always be available.

To the fullest extent permitted by applicable law, Velaphi's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total subscription fees and wallet top-ups paid by you to Velaphi in the three (3) months preceding the claim.

Velaphi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, business interruption, or damage to reputation, even if advised of the possibility of such damages.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Dutch law.

You agree to indemnify, defend, and hold harmless Velaphi and its officers, directors, employees, and agents from any claims, liabilities, damages, and costs (including legal fees) arising from (i) your use of the Platform, (ii) your breach of these Terms, or (iii) any shipment booked through your account.

• You may close your account at any time by contacting hello@velaphi.co.
• We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if we are required to do so by law.
• On termination, your access to the Platform ceases immediately. Shipment and billing records will be retained as required by law.

We may revise these Terms from time to time. We will provide at least 30 days' notice before material changes take effect by emailing registered users. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance.

These Terms are governed by the laws of the Netherlands. Any dispute arising from these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
